We’ll always do our best to fulfil your needs and meet your expectations, but it’s important to have things written down so that we both know what’s what, who should do what and when, and what will happen if something goes wrong. In this policy, you won’t find any complicated legal terms or long passages of unreadable text. We have no desire to trick you into signing something that you might later regret. What we do want is what’s best for both parties, now and in the future.

What Do Both Parties Agree To Do?

You have the authority to enter into this agreement on behalf of yourself, your company, or your organisation. You’ll give us everything we need to complete the project as and when and in the format we need it. You’ll review our work, provide feedback, and give approval in a timely manner. Deadlines work both ways, so you’ll also be bound by dates we set together. You also agree to stick to the payment schedule set out in this policy.

We have the experience and ability to do everything we’ve agreed with you and we’ll do it all in a professional and timely manner. We’ll endeavour to meet every deadline that’s set and, on top of that, we’ll maintain the confidentiality of everything you share with us.

SEO & Digital Marketing Services

SEOPAPA LTD has no control over the policies of search engines with respect to the type of sites and/or content that they accept now or in the future. Your website may be excluded from any directory or search engine at any time at the sole discretion of the search engine or directory.

Google and other search engines have been known to temporarily limit the visibility of new websites or pages until they have demonstrated their credibility over a period of time. This is commonly referred to as the “Google Sandbox.” SEOPAPA LTD assumes no liability for ranking, traffic, or indexing issues related to such sandbox effects or similar search engine behaviours.

Occasionally, search engines will drop listings for no apparent or predictable reason. Often, the listing will reappear without any additional optimisation. Should a listing be dropped during the campaign and does not reappear within 30 days of campaign completion, SEOPAPA LTD will re-optimise the website or page based on the current policies of the search engine in question.

We possess a strong track record and proven strategies for SEO and digital marketing success. However, due to the ever-evolving nature of search engine algorithms and digital advertising platforms, we cannot guarantee specific rankings, traffic volumes, or revenue outcomes. We view our client relationships as collaborations and will work diligently and transparently to achieve the best possible results for your business.

Advertising Services

For advertising placements and campaigns managed through advertise.hk, SEOPAPA LTD will:

• Provide campaign setup and management as agreed in your service package
• Deliver regular performance reports at the frequency agreed at the time of onboarding
• Optimise campaigns based on available data and platform capabilities
• Notify you promptly of any significant changes to campaign performance or platform policies

Campaign timelines and go-live dates are estimates and may be subject to third-party platform review and approval processes that are outside our control. We will communicate any delays as soon as they are known to us.

Legal

We cannot guarantee that our work will be entirely error-free and so we cannot be liable to you or any third party for damages, including lost profits, lost savings, or other incidental, consequential, or special damages, even if you have advised us of them.

If any provision of this policy shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.

SEOPAPA LTD reserves the right to assign other team members, contractors, or subcontractors to assist on portions of a project to ensure quality and on-time completion. We also reserve the right to use any necessary software tools, resources, or third-party platforms required to deliver the agreed services.

Copyrights

You guarantee that all elements of text, images, or other content you provide are either owned by you or that you have permission to use them for the purposes of this engagement.

Once your final payment has cleared, copyright of deliverables will be assigned as follows:

• You will own the creative and content assets we produce specifically for your project
• We will provide you with source files and finished files upon project completion
• You are responsible for storing and safeguarding your files, as we are not obligated to retain copies indefinitely
• You own all elements of text, images, and data you provided, unless they are owned by a third party

SEOPAPA LTD reserves the right, with your permission, to reference your project as part of our portfolio and to discuss the work in case studies, on our website, or in other marketing materials.

Payments

We require full payment for monthly services at the start of each monthly period before we are able to begin or continue any work. To avoid delays to your campaign, setting up a standing order or recurring payment instruction at the start of the engagement is a compulsory part of our onboarding process. We will share instructions on how to set this up in your welcome communication.

For one-off or project-based services, payment terms will be as specified in your individual proposal or invoice. Where a deposit is required, work will not commence until the deposit has been received and cleared.

All payments are due in the currency stated on your invoice. Late payments may result in suspension of services until the outstanding balance is settled.

Non-Transferable

This agreement is personal to you and cannot be transferred or assigned to any other individual or organisation without our prior written consent. This agreement remains in place for the duration of the services and need not be renewed unless new services are agreed. If any part of this agreement becomes invalid or unenforceable, the remaining parts continue in full effect.

Cancellation

Either party may terminate the working relationship by giving 30 days’ written notice to the other party.

In the event that work is postponed or terminated at your request, SEOPAPA LTD shall have the right to bill for work completed up until the end of the notice period, while reserving all rights under this agreement.

By way of example:

Suppose a client has a monthly service fee of £2,000, and the regular monthly invoice is issued on the 1st day of each month. If the client gives notice to terminate on the 15th of that month:

• The client will be responsible for the full monthly fee of £2,000 for the current month, as the invoice was already issued on the 1st
• The client will also be billed for services rendered during the 30-day notice period. If 15 days of that notice period fall within the next billing cycle, this is calculated as: (£2,000 / 30 days) x 15 days = £1,000

The total invoice for the month of termination would therefore be £2,000 (current month) + £1,000 (notice period) = £3,000. No further invoices will be issued once the notice period has been served.

Refunds

SEOPAPA LTD does not offer refunds for services that have been rendered. Once a service period has commenced and an invoice has been issued, the client is responsible for the full payment as stipulated in the agreement. This policy ensures that our team is fairly compensated for the time, expertise, and resources allocated to each project.

Effective Agreement

This agreement becomes effective once both parties have confirmed acceptance of its terms, either in writing or by commencing the agreed services. Regardless of the location of either party, this agreement is entered into in the United Kingdom and any dispute will be litigated or arbitrated in England and Wales.
